General Terms and Conditions (GTC) of D-Z Consulting UG (haftungsbeschränkt)
1. Scope of Application
1.1 These General Terms and Conditions (GTC) apply to all contracts between D-Z Consulting UG (haftungsbeschränkt), Kantstrasse 154, 10623 Berlin (hereinafter “Provider”), and its customers (hereinafter “Customer”), relating to the creation and operation of online presences, affiliate marketing and consulting, collection, management, and use of customer data, accounting services, and the organization and optimization of medical internships.
1.2 These GTC apply to both consumers and entrepreneurs within the meaning of Section 13 and Section 14 of the German Civil Code (BGB).
2. Services
2.1 D-Z Consulting UG (haftungsbeschränkt) provides the following services:
- Creation and operation of online presences, including websites and social media accounts;
- Affiliate marketing and consulting;
- Collection, management, and use of customer data;
- Accounting services;
- Organization and optimization of medical internships.
2.2 Services may be delivered in person, online, or via third-party partners as required for contract fulfilment.
2.3 The services are aimed at businesses, professionals, trainees, students, and any individuals or organizations seeking the above services.
3. Conclusion of Contract
3.1 The contract can be concluded either orally or in writing on an individual basis.
3.2 Upon acceptance, the customer receives an order confirmation and an invoice by email. Digitally created documents are valid without a signature.
3.3 D-Z Consulting UG (haftungsbeschränkt) may work with other partners for services for contract fulfilment.
4. Prices and Payment Terms
4.1 Prices are agreed either on an hourly basis or as flat rates and are specified in the offer.
4.2 Payments must be made upon receipt of the invoice, with the legal payment period (German law) of 30 days.
5. Cancellation and Withdrawal
5.1 Cancellation is possible free of charge up to 14 days before the start of a service or project, unless otherwise individually agreed.
5.2 In the event of cancellation between 14 days and 5 days before the start, 50% of the agreed fee must be paid.
5.3 In the event of cancellation between 5 days and 2 days before the start, 75% of the agreed fee must be paid.
5.4 In the event of cancellation within 24 hours before the start, 100% of the agreed fee must be paid.
5.5 A replacement date or project adjustment may be agreed upon, with potential additional costs for services or resources incurred.
6. Liability and Warranty
6.1 Liability of D-Z Consulting UG (haftungsbeschränkt) is limited to the company’s share capital. The managing director is liable only in cases of intent or gross negligence.
6.2 In cases of slight negligence, liability is limited to breaches of essential contractual obligations (cardinal obligations) and restricted to typical, foreseeable damage.
6.3 D-Z Consulting UG (haftungsbeschränkt) does not guarantee results, success, or specific outcomes for online, marketing, accounting, or internship optimization services.
6.4 The customer is solely responsible for compliance with applicable laws, regulations, and professional standards when implementing recommendations or using outputs provided by the provider.
7. Data Protection and Privacy
7.1 The provider collects, processes, and uses customer data solely for the purpose of contract execution and in accordance with statutory provisions.
7.2 Customer data may be remitted to third parties, including partners necessary for service delivery, if this is specified in the contract or required for service execution.
7.3 If partners are located abroad, the General Data Protection Regulation (GDPR) may not fully apply; the customer acknowledges potential risks regarding data transfer outside the EU and assumes responsibility for compliance with local data protection regulations.
7.4 The provider will not sell customer data to unrelated third parties.
8. Disclaimer for Services
8.1 All services, including online presence creation, affiliate marketing, accounting, and internship management, are provided for consulting, operational support, and informational purposes.
8.2 D-Z Consulting UG (haftungsbeschränkt) provides no guarantee regarding the effectiveness, profitability, or outcomes of the services.
8.3 Clients remain fully responsible for implementing processes, campaigns, or any operational measures derived from provider services.
8.4 Third-party partners engaged for service fulfilment act independently. The provider assumes no liability for the actions, outputs, or omissions of these partners.
9. Intellectual Property
9.1 All content, designs, software, and methodologies created by the provider remain the property of D-Z Consulting UG (haftungsbeschränkt) unless explicitly transferred by contract.
9.2 Customers may not copy, distribute, or commercially exploit intellectual property without prior written consent.
10. Final Provisions
10.1 Amendments and supplements to these GTC must be made in writing. This also applies to the waiver of the written form requirement.
10.2 Should individual provisions of these GTC be or become invalid or unenforceable, the validity of the remaining provisions remains unaffected. A valid provision shall replace the invalid one, approximating the economic intent of the original.
10.3 German law applies. The place of jurisdiction for all disputes arising from or in connection with these contracts is the registered office of the provider in Berlin.
